Adam Back Bitcoin firm renegotiates SPAC merger with Cantor

Adam Back’s Bitcoin Standard Treasury Company is renegotiating the terms of its planned merger with Cantor Equity Partners. The companies abandoned their original July 2025 agreement and postponed a shareholder meeting indefinitely.

BSTR and Cantor Equity Partners I announced Wednesday they will not complete the transaction under the original business combination agreement. The firms are now discussing a revised structure and expect to provide further details in future U.S. Securities and Exchange Commission filings.

The previously announced private investment in public equity financing tied to the merger has been dropped. Cantor Equity Partners also postponed its shareholder meeting, originally set for July 10, with no new date provided. Any redemption requests already submitted will be cancelled automatically.

BSTR first unveiled the SPAC plans in July 2025. The company had aimed to list publicly with more than 30,000 Bitcoin on its balance sheet and raise up to $1.5 billion through the PIPE to acquire additional Bitcoin. CEPO shares continue to trade around $10.50.

Securitize, the BlackRock-backed tokenization firm, is scheduled to begin trading on the New York Stock Exchange under the ticker SECZ on July 2. The company expects to raise about $400 million through its merger with Cantor Equity Partners II.

Strategy, the world's largest Bitcoin treasury company, agreed on May 15 to repurchase roughly $1.5 billion principal amount of its 2029 convertible notes for an estimated $1.38 billion in cash. The firm may fund the transaction through cash reserves, ATM equity sales, or Bitcoin proceeds.

Strategy sold 32 Bitcoin between May 26 and May 31 to fund preferred stock dividends. The sale, worth about $2.5 million, marks the company's first disposal of the asset since 2022. Bitcoin prices fell following the disclosure on June 1.

Strategy chief executive Phong Le said the company will not panic over its Bitcoin holdings unless the cryptocurrency drops to between $8,000 and $10,000. The comments came in a Tuesday interview with Bloomberg TV.

Strategy purchased 1587 Bitcoin last week for about 100 million dollars. The company financed the acquisition by selling 1.7 million shares of its MSTR stock. Total holdings now stand at 846842 Bitcoin.
