IFC becomes shareholder in Davivienda Internacional with US$150 million

The International Finance Corporation (IFC), part of the World Bank Group, will invest US$150 million to acquire a 7.1% stake in Holding Davivienda Internacional S.A. This deal will be formalized after the integration of Davivienda and Scotiabank operations in Central America. Additionally, Davivienda Group signed a US$500 million credit contract with The Bank of Nova Scotia.

Davivienda Group announced that the International Finance Corporation (IFC) will become a shareholder in Holding Davivienda Internacional S.A. (HDI) through a US$150 million investment, representing 7.1% of the company's share capital. This stake will be realized via Davivienda's operations in Central America, including the integrated operations of The Bank of Nova Scotia - Scotiabank in Panama and Costa Rica.

The transaction will be formalized once the integration of Davivienda and Scotiabank is completed, following approval by Colombia's Superintendencia Financiera on November 24, 2025. Regulatory authorizations also cover Panama, Costa Rica, Honduras, and El Salvador. After IFC's capital contribution, HDI's share structure will be: 92.9% owned by Davivienda and 7.1% by IFC. The operations included span Panama, Costa Rica, El Salvador, and Honduras.

In a related announcement, Davivienda Group signed a credit contract with The Bank of Nova Scotia for a total facility of US$500 million, with a maximum term of two years. The holding will act as guarantor and co-debtor, alongside subsidiaries in Colombia and Central America. The funds will be used for working capital and general corporate purposes. The credit will bear interest at the three-month Term SOFR rate plus an agreed margin, with principal amortization at the end of the term.

These developments bolster Davivienda's position in the region, following the approval of the Scotiabank integration, which completes the required permissions in the relevant jurisdictions.
