Grupo Nutresa, one of Colombia's leading food companies, has called its shareholders to an extraordinary assembly to be held in person on Monday, February 16 at 9:00 a.m. in the Auditorium on the 8th floor of the Edificio Centro Santillana in Medellín.
The agenda covers several essential items: verifying the quorum to ensure the assembly's validity, designating delegates to approve the meeting minutes, and approving the issuance of preferred shares along with their specific terms. It will also discuss waiving preemptive subscription rights, allowing for more flexible placement.
The assembly will delegate powers to the Board of Directors to regulate the subscription and placement of the shares, as well as authorize its members and legal representatives to execute necessary actions. Jaime Gilinski, president of Grupo Nutresa S.A., signed the call and stressed the importance of shareholder participation in this process.
For those unable to attend, the company allows granting power of attorney to third parties, provided legal requirements are met. However, Nutresa's administrators or employees cannot represent third-party shares or substitute granted powers.
