Ecopetrol completes solar portfolio acquisition from Statkraft for US$157.5 million

On November 13, 2025, Ecopetrol finalized the deal with Statkraft to acquire a solar project portfolio in Colombia for US$157.5 million. The state oil company becomes the 100% owner of the involved companies, incorporating about 0.6 GW of solar capacity. The transaction uses incremental debt from its organic investment financing plan.

Ecopetrol announced that the transaction closed on November 13, 2025, with Statkraft European Wind and Solar Holding, AS. The acquisition covers a company focused on the development and operation of Statkraft's portfolio in Colombia, plus six special purpose companies owning solar projects totaling about 0.6 GW. These companies were owned by Statkraft subsidiaries: Enerfín Sociedad de Energía S.L.U. and Enerfin Enervento Exterior S.L.

The deal was financed through incremental debt enabled in Ecopetrol's organic investment financing plan. The original agreement, signed on May 20, involved negotiations for a total of 10 companies. However, the closing of the remaining three companies, owners of wind projects with ~0.7 GW, remains subject to meeting prior conditions and additional legal requirements.

Through this acquisition, Ecopetrol takes 100% ownership of the companies and incorporates a solar energy portfolio exceeding 0.6 GW. Procedures now begin to integrate these entities into the Ecopetrol Group structure, enhancing its renewable energy footprint.
