Les actionnaires d'Unicredit ont accordé un mandat fort au PDG Andrea Orcel ce lundi en approuvant massivement une augmentation de capital. Ce vote ouvre la voie à une offre de rachat de la banque italienne sur Commerzbank.

Unicredit a récemment exposé à ses actionnaires les risques liés à cette méga-opération. Parmi ceux-ci figurent le départ potentiel de cadres clés et de clients, ce qui pourrait réduire l'attrait de l'acquisition. L'approche hostile d'Orcel face aux résistances pourrait aggraver ces difficultés.

L'opposition du gouvernement fédéral allemand constitue un autre risque. Avec ses 12 % de parts dans Commerzbank, Berlin ne peut empêcher Unicredit d'obtenir une majorité, mais peut bloquer le contrôle total et le retrait de la cote. La stratégie d'Orcel n'a pas encore amené le gouvernement à changer d'avis.
