Commerzbank-direktør kritiserer Unicredits nye overtagelsestilbud

Unicredit fra Milano annoncerede mandag et frivilligt offentligt overtagelsestilbud for Tysklands næststørste private bank Commerzbank i Frankfurt. Tilbuddet foreslår et udvekslingsforhold på 0,485 Unicredit-aktier pr. Commerzbank-aktie, en smule over fredagens afslutningskurs, hvilket værdisætter det til omkring 35 milliarder euro. Unicredit ejer i øjeblikket næsten 30 procent af Commerzbank-aktierne, efter at have trådt ind med ni procent i september 2024; fire procent er finansielle instrumenter. Målet er at overskride 30-procentsgrænsen. Unicredit-direktør Andrea Orcel forventer ikke at opnå kontrol, men vil tvinge Commerzbank-direktør Bettina Orlopp til forhandlingsbordet. „Our message to Commerzbank today is: It is time to talk“, sagde Orcel. Commerzbank afviser det: Unicredits kommunikation indeholder „no further information regarding the key pillars of a value-creating transaction“. „That would be the necessary basis for any talks“, hed det i udtalelsen. Den tyske regering, som med omkring 12 procent er den næststørste aktionær efter Unicredit, støtter denne holdning og afviser strengt et salg.
